Terms and Conditions
Please read these terms carefully before using the Anivision platform.
1. General Scope
These General Terms and Conditions (GTC) govern all contracts concluded between you as the client and Anymate Me GmbH (operating the platform "Anivision"), located at Weyertal 109, 50931 Cologne. Unless otherwise agreed, the GTC applies exclusively in their current version at the time of contract execution. Any conflicting or supplementary terms from the client require explicit approval from Anymate Me GmbH to become part of the agreement.
2. Subject Matter
Anivision is an AI-powered Software-as-a-Service (SaaS) platform designed for performance marketing teams, creators, and brands to generate high-converting User-Generated Content (UGC) video ads. The software automates the creation of direct-response video ads from text scripts, allowing clients to instantly generate multiple video variations, hooks, and angles based on proven marketing frameworks. To use the service, clients can select predefined AI actors and voices, and seamlessly integrate their own product assets, such as images, logos, or b-roll footage.
3. Avatars and Voice Generation
Anivision provides access to a library of over 50 diverse, highly realistic AI actors and over 60 languages utilizing ElevenLabs Text-to-Speech (TTS) technology. If a client chooses to create a personalized custom avatar or voice clone using their own uploaded media, explicit consent from the depicted natural person is required. The client bears the entire risk if this consent is subsequently revoked, which includes forfeiting the right to use the generated avatar/voice and any associated license fees.
4. Free Tier and Subscriptions
Clients may begin using Anivision via a free tier without requiring a credit card to test the automated video creation. Alternatively, clients can directly subscribe to one of Anivision's paid service tiers. During the free tier, Anymate Me GmbH uses client feedback and usage data to continuously improve and optimize the AI scripting frameworks and video generation capabilities.
5. Platform Access and Availability
Access to the Anivision web platform requires a registered customer account. The client is responsible for keeping their access credentials secure against unauthorized third parties. Anymate Me GmbH aims to provide 24/7 availability for the platform but reserves up to 48 hours per month for regular maintenance. Maintenance will preferably be conducted at night (German time) and, unless it involves critical security updates, will be announced 48 hours in advance. For optimal performance and 4K video exports, Anymate Me GmbH recommends accessing the platform via a current desktop browser (Chrome, Safari, Firefox).
6. Content Responsibility
The client is solely responsible for all text, product images, logos, and b-roll uploaded to the Anivision platform. By uploading content, the client guarantees they hold the necessary copyrights and licenses and that the content does not infringe on any third-party rights. The client agrees to indemnify Anymate Me GmbH against any legal defense costs arising from such infringements. Uploaded materials and generated videos must strictly not contain any violent, sexist, racist, or discriminatory elements.
7. Usage Rights
Anymate Me GmbH grants the client a simple, non-transferable, non-sublicensable, and revocable right to use the Anivision SaaS platform for the duration of their active contract. In return, the client receives an exclusive, irrevocable, perpetual, and geographically unrestricted right to use, export, and distribute their generated UGC video ads (e.g., on Meta, TikTok, YouTube). The core software, underlying AI models, and platform frameworks remain the exclusive intellectual property of Anymate Me GmbH.
8. Term and Termination
Subscriptions are billed on a recurring basis (e.g., monthly or annually) according to the selected pricing tier. Unless otherwise specified during checkout, subscriptions automatically renew for the same billing period unless canceled by either party in accordance with the notice period specified in the chosen plan. The right of both parties to terminate the contract without notice for good cause remains unaffected. All cancellations must be made in text form (e.g., via email or the platform's billing dashboard).
9. Consequences of Termination
Upon termination of the contract, the client will lose access to the Anivision platform and the ability to generate new videos or variations. However, the client retains the right to continuously use all previously exported, watermark-free videos and creatives indefinitely.
10. Remuneration
For the provision of the Anivision platform, the client pays a recurring license fee based on their selected tier (ranging from free to enterprise plans). The client receives a monthly quota of video generation credits. Unused credits expire at the end of the respective billing cycle and cannot be rolled over or refunded. All prices include statutory value-added tax (VAT). Payments are due upon receipt of the invoice.
11. Liability
Anymate Me GmbH accepts unlimited liability for intent, gross negligence, injury to life, body, or health, and for intentional breaches of essential contractual obligations (cardinal duties). In the event of a negligent breach of essential duties, liability is limited to the typical, foreseeable damages for this type of contract. Liability for data loss is limited to the cost that would have been incurred to restore the data had the client performed regular and proper backups.
12. Final Provisions
This contract is governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from this contract is Cologne. Should individual provisions of this contract be invalid, the validity of the remaining provisions shall not be affected.
